When I am booting from a bootable CD having Windows XP 64 Bit,
I am getting BSOD with bug check SESSION5_INITIALIZATION_FAILED.
Can any one explain me why this happens?

I’m sorry, but this really isn’t the right forum for your question, as it’s not related to Windows system software development.
I *can* tell you that about 5 minutes with Google will give you lots of ideas as to what the problem might be.
If this is a problem with software that you’ve created and are debugging, you think your kernel-mode software might be involved and you can post the output from a !analyze -v, feel free to repost with those details.
Otherwise, I’m sorry, but I’m going to lock this thread due to it being off-topic.
